What is a registered office?
A company’s registered office is the address of a legal entity recorded in the Commercial Register. It is partly determined by the founding document and partly decided by the applicant, i.e., the person filing for registration in the Commercial Register. There are no special requirements for the registered office of a legal entity. Currently, the law imposes no specific conditions on a registered office. The only exception is if the company’s registered office is located in a residential apartment; in that case, its operation must not disrupt the peace and order of the building. In relation to state administration authorities, the registered office determines local jurisdiction. The address of the registered office dictates the relevant registry court and, last but not least, it also determines the local jurisdiction of the regional tax office.
What exactly is the difference between a virtual office and a physical registered office?
A Physical or Virtual Registered Company Address – We can arrange both
Virtual registered office (or Registered address): The address recorded in a public register (e.g., the Commercial Register) based on the property owner’s consent for the registered office. For communication with authorities and third parties, the principle of reliance on the public register applies. I.e., anyone can rely on the registered office recorded in the register, and the company cannot object that its actual headquarters are located elsewhere.
Physical registered office: The place where the management (administration) of a legal entity is actually located and where its main activities are concentrated. Anyone can also rely on this physical registered office.

Can I have my company's registered office at home in my apartment?
You can only choose to have your registered office at home if you privately own the apartment. If not, you must obtain the property owner’s consent, which must also feature a notarized signature. If, for example, it is a cooperative apartment, you must obtain the signature of the cooperative’s board of directors.
Consider the risk of asset seizure
It can happen at any time. And bailiffs on site never pay attention to who owns the property at the registered office address. They do not distinguish whether the assets are personal or corporate. You can easily find yourself in a situation where you lose personal belongings of people living in the shared household.
Your home address may not be attractive enough
Many entrepreneurs and clients value a prime location and a representative office building. And the truth remains that you simply cannot provide such conditions at home. At the same time, according to Section 31, Paragraph 2 of the Trade Licensing Act, the company’s registered office must always be marked with a sign at the entrance to the building.
Such a sign must contain:
The business name, or the first name, last name, and the identification number (ID) of the entrepreneur.
And here another problem may arise. Such a sign can be a disruptive element for both you and your neighbors.
Is it necessary to prove the legal right to use the premises?
Upon request by a court or the Trade Licensing Office, an entrepreneur is always obliged to prove the legal right to use the premises where their registered office is located, and a foreign entity must do the same for its branch office.
If an entrepreneur has a registered office in the Czech Republic that is identical to their place of residence, they do not need to prove the legal right to use the premises. The only exception is if the residence is located at the address of a municipal registry office, a special registry office, or an administrative authority that has canceled the information about their registered place of residence in the Czech Republic.
Registered office and place of business – what is the difference?
In practice, these terms are often confused. So, what do they mean?
A place of business is a space for carrying out specific activities
A place of business (premises where activities are performed) is a specific space where a trade is physically carried out (e.g., a workshop, shop, office, hair salon, etc.). An entrepreneur does not need to have any place of business (e.g., a bricklayer working on construction sites), but if they perform their activities at a permanent location, they can have several (e.g., a chain of stores). A place of business must be reported to the Trade Licensing Office. Furthermore, an entrepreneur can have any number of places of business. This differs from a registered office, of which there can be only one. Every place of business of an entrepreneur must be associated with a right of use or ownership. If it is a rented place of business, the entrepreneur must obtain the consent of the owner of the space.
The entrepreneur must mark the place of business with their identification number (ID) (if assigned) and business name. If the place of business is a retail store, the responsible person and opening hours must also be displayed.
Look for the company’s registered office in the Commercial Register
The registered office is the official address recorded in a public register (e.g., the Commercial Register) based on the property owner’s consent. This can be the address of permanent residence, a rented office, or a virtual registered office. Every entrepreneur has only one registered office. This term represents the address where the business entity is headquartered. Furthermore, every legal entity must have a registered company address. A virtual registered office thus represents an alternative for those entrepreneurs who do not need or want a physical office.
Can a virtual registered office pose risks? What to watch out for?
If you decide on a virtual registered office, watch out for certain unfair providers. You can usually spot them by the following suspicious practices.
An overly low price
Do not fall for an overly low price that may seem tempting at first glance. Once you examine the offer more closely, you may find that it is tied to unfavorable terms for you. Typically, for example, this involves the requirement of a long-term lease for several years.
Extra charges for every additional service
Another common practice is offering a low price for the registered office itself. However, you will soon find out that you need to pay extra for every individual service. For example, for mail forwarding by the Czech Post. Such a service, however, might cost an additional 200 CZK per month, and your monthly costs for a virtual registered office can suddenly double.
Or the registered office provider might lure you in with a wide range of attractive benefits for an extra fee. These can include, for example:
- regular checking of your data box,
- handling your phone calls,
- a luxuriously equipped reception desk,
- and many more.
In reality, however, what you primarily expect from a virtual registered office is your company’s signage on the building. And for someone to receive and potentially scan your incoming mail.
So how do you recognize a fair provider?
When deciding on a suitable provider, the company’s years in business can be a decisive factor, among other things. Also, read what the customers themselves say about the services. Last but not least, focus on transparent pricing so that you are not surprised by hidden fees. It is also important to verify whether the provider has the legal right to provide registered offices in the given premises, or whether you will receive the property owner’s consent for the registered office directly from the property owner at the given address.
How to proceed when changing your company's registered office?
First of all, you should check whether the specific address of your current registered office is written in your company’s founding document. If so, it is first necessary to amend the founding document via a notarial deed. Furthermore, you must have the property owner’s consent for the registered office (or a lease agreement).
To record the new registered office in the Commercial Register, you can use the relevant registry court.
The application always includes:
- The full address of your new registered office.
- Proof of the partners’ decision, or minutes from the general meeting, if the founding document is being amended.
- A document proving the legal right to use the premises where you have placed your registered office.
- If you are only renting the property where you are placing the company’s registered office, you will need the property owner’s consent or a lease agreement.
Inform the relevant authorities about the change
The tax office and the Trade Licensing Office should learn about the change of the registered office automatically, but we recommend checking this in the relevant registers just to be sure.
If you have employees within the company, there is also an eight-day deadline running from the change of the company’s registered office.
Within this period, you must:
- Report the new address to the relevant social security administration offices.
- Report the new address to the individual health insurance companies.
